1. SPONSOR: “2023 Head in the Cloud Festival VIP Ticket Giveaway” (“Giveaway”) is sponsored by HiteJinro America, Inc., 13422 Alondra Blvd., Cerritos, CA 90703, and administered by Basecamp, Inc., 225 S. Lake Ave. Ste. 300, Pasadena, CA 91101 (“Administrator”).
2. GIVEAWAY DESCRIPTION: Submit an original photo image of “Moments with Jinro Toad” on the Giveaway landing page.
3. GIVEAWAY PERIOD: Begins at 12:00:00 AM Pacific Time (“PT”) on July 25, 2023 and ends at 11:59:00 PM PT on August 1, 2023.
4. ELIGIBILITY: The Giveaway is open to only legal United States (U.S.) residents who are physically residing in one (1) of the fifty (50) U.S. states or Washington, D.C. Participants must be twenty-one (21) years of age or older to be eligible at the time and date of entry for any and all prizes. Employees, officers, directors, and agents of the Sponsor, its distributors

and distribution personnel, advertising, production and promotion agencies, the Administrator, and each of their immediate family members (i.e., spouses, parents, children, grandparents, siblings and their spouses) are not eligible to enter or win a prize. Entrants may submit one (1) entry per person/per email address during each Giveaway Period. Giveaway is void in Puerto Rico, U.S. territories and possessions, outside of the fifty (50) United States and D.C., and where restricted or prohibited by law. By entering, Entrants agree to be bound by these Official Rules, including all eligibility requirements and the decisions of the Sponsor, which are final and binding.

5. HOW TO ENTER: Visit the website (https://HiteJinroAmerica.com) during the Giveaway Periods and follow the on-screen instructions and submit your official entry form electronically as directed. Entrants will be required to provide their name, and a valid email address, along with their photo submission on the Website. (hereinafter, each an “Entry” or collectively, “Entries”). Entrant must complete and submit the official entry form with all required information for the Entry to be eligible.
6. REQUIREMENTS OF ENTRIES: Entry may not contain, as determined by the Sponsor, in its sole discretion, any content that:

• is sexually explicit or suggestive; violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or p*rnographic; contains nudity;
• promotes irresponsible drinking, underage drinking, or the abuse of alcohol, use of illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message; • is obscene or offensive; endorses any form of hate or hate group;
• appears to duplicate any other submitted Entries;
• defames, misrepresents or contains disparaging remarks about other people or companies; • contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors, or theme parks) owned by others, without permission;
• contains any personal identification, such as personal names or e-mail addresses; • contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission;
• contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;
• contains look-alikes of celebrities or other public or private figures, living or dead; • communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or
• violates any law.

Entry must be the original work of the Entrant, and may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. Any Entrant who incorporates any intellectual property owned by a third party into his or her Entry does so at his or her own risk. If the Entry contains any material or elements that are not owned or controlled by the Entrant, and/or which are subject to the rights of third parties, the Entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any Entrant at any time. Failure to provide such proof, if requested, may render Entry null and void. If Sponsor is duly notified that any element of an Entrant’s Entry infringes upon the rights of another person and/or receives a legally valid request to remove the affected Entry from the Website because of such infringement, such Entry may be disqualified from the Giveaway, as Sponsor may determine in its sole discretion. By submitting an Entry, Entrant warrants and represents that they consent to the submission and use of the Entry in the Giveaway and to its use as otherwise set forth herein. Any Entry that does not comply with these Official Rules will not be considered a valid Entry in this Giveaway. If any Entry fails to comply with any of these Entry requirements or any other provisions of these Official Rules, at the Sponsor’s sole discretion, Sponsor reserves the right

to disqualify the Entrant. Further, no Entrant will be eligible to receive a prize unless Sponsor determines, in its sole and absolute discretion, that such Entrant’s Entry has been or can be sufficiently cleared for legal purposes

7. WINNER SELECTION: The recipients of the Giveaway prize will be selected randomly from all eligible Entries received by Sponsor and Administrator. Sponsor reserves the right not to award the Giveaway Prize, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries.
8. WINNER NOTIFICATION: Potential winners will be notified by August 2, 2023 via email used for the submission. Potential winners must redeem the prize within 1 day (24 hours) from the notification date. Winners may be required to provide a signed affidavit of eligibility (which affirms that he/she has complied with these rules) as well as a liability release, and a publicity release. If a potential prize winning notification email is returned as undeliverable, a potential prize winner is ineligible, or a potential prize winner declines the prize or fails to comply with the Official Rules and/or submit the required documentation within the designated time period, such prize will be forfeited and may be awarded to an alternate prize winner. In the Giveaway more prize winner notifications are issued, or more winning claims are received than the number of prizes set forth in these Official Rules due to computer, printing, seeding, human or other error or problem, a random drawing will take place from among all eligible prize claims to award the prizes, as set forth in these Official Rules. Inclusion in such drawing shall be each Entrant’s sole and exclusive remedy under such circ*mstances. No more than the number of prizes stated in these Official Rules will be awarded. The Sponsor reserves the right to award fewer than the number of prizes stated in these Official Rules if it does not receive a sufficient number of eligible and qualified Entries during the Giveaway Period. The Sponsor is not responsible for fraudulent calls or emails made to Entrant’s, not by the Sponsor. Decisions made by the Sponsor will be final and binding.
9. GIVEAWAY PRIZES:

• Three (3) Prizes: Three (3) recipients will receive one (1) pair of 2-Day VIP Tickets for Head In the Cloud LA Festival; (ARV of prizes = $3,000).

No substitutions or transfers of prize, except at the Sponsor’s discretion. Prizes are not transferable. Winners MUST pick up the winning prizes at ‘Will Call’ booth at the Festival entrance. Winners are solely responsible for all other expenses not specified herein, including but not limited to applicable federal, state and local taxes when applicable. Prize Winners may

be required to provide the Sponsor with his/her social security number for tax purposes. Reporting and payment of any applicable Federal, State, and local taxes are the sole responsibility of the prize winner.

10. RULES OF PARTICIPATION: Any attempt by a participant to acquire more than the stated number of entries by using multiple/different email addresses, registrations, identities, or any other methods will void that Entrant’s Entry and that Entrant may be disqualified from the Giveaway. The use of automated software or computer programs to register or enter the

Giveaway is prohibited, and any individual who uses or attempts to use such methods to register or enter will be disqualified. If the Sponsor cannot determine the identity of the person based upon the information submitted, the respective Entrant will be disqualified. All Entries become the property of the Sponsor and will not be acknowledged or returned. The Sponsor is not responsible for and shall not be liable for: (i) late, lost, stolen, delayed, misdirected, garbled, incomplete, unreadable, or inaccurate Entries; (ii) errors of any kind whether mechanical, human or otherwise relating to or in connection with the Giveaway, including, without limitation, errors which may occur in connection with the administration of the Giveaway or the processing of the entries; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; or (iv) any printing, typographical, human, administrative or technological errors in any materials associated with the Giveaway. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of the Sponsor may be disqualified. The Sponsor may run multiple campaigns, Giveaways, sweepstakes or other promotions simultaneously. Entry into one (1) campaign, Giveaway or sweepstakes does not constitute entry into any other. If you opt to use a wireless mobile device to submit your Entry, standard message and data rates and other charges may apply. Check your mobile plan for rate/details prior to entering via a mobile device. Participation via a mobile device may not be possible on all carriers. By entering, participants acknowledge compliance with the Official Rules, including eligibility requirements.

11. PUBLICITY RELEASE: By entering the Giveaway, Entrants agree to the use by the Sponsor and its designee of their name, city, and state of residence and photograph/likeness for advertising, promotional and other purposes, worldwide and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, except where prohibited by law. The potential winners may be required to sign an affidavit of eligibility (which affirms that he/she has complied with these rules) as well as a liability release, and where legal, a publicity release, each of which, if issued, must be completed, signed and returned within fourteen (14) days from date of issuance, or the prize will be forfeited and may be awarded to an alternate winner.
12. ARBITRATION: Except where prohibited by law, as a condition of participating in this Giveaway, participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Giveaway, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circ*mstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Giveaway), and participant further waives all rights to have damages multiplied or increased.
13. INDEMNIFICATION: By participating in the Giveaway, Entrants agree to release, indemnify and hold harmless, the Sponsor, the Administrator, their subsidiaries, affiliates, prize suppliers, and advertising and promotion agencies, and all their affiliates, and each of their respective agents, representatives, officers, directors, shareholders and employees (collectively, “Releasees”) from and against any injuries, losses, damages, claims, actions and any liability of any kind resulting from or arising from participation in the Giveaway or acceptance, possession, use, misuse or nonuse of the prize (including any travel or travel

related activity thereto) that may be awarded. Entrants agree that the laws of the state of California will govern any and all disputes. Releasees are not responsible for technical, computer, mechanical, printing, typographical, human or other errors, including, without limitation, errors which may occur in the administration of the Giveaway, the announcement of the prize, the processing of entries or in any Giveaway-related materials; or for transactions that are lost, stolen, late, misdirected, damaged, incomplete, or illegible entries; fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason including computer, telephone, paper transfer, human or other error; or for electronic, computer, or telephonic malfunction or error, or process any transaction thereon.

The Sponsor reserves the right to modify prize award procedures. If this Giveaway or any website associated therewith becomes corrupted or does not allow the proper entering of the Giveaway and processing of entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper operation of this Giveaway, the Sponsor reserves the right, in its sole discretion, to disqualify any Entrant implicated in such action and/or to amend, modify, cancel, terminate or suspend this Giveaway or any portion thereof.

14. FOR WINNERS LIST AND OFFICIAL RULES: To obtain a list of prize winners (available after Aug. 15, 2023) or a copy of these Official Rules, send a stamped, self-addressed envelope to be received by Aug. 31, 2023 to: “2023 HITC Giveaway”, HiteJinro America, c/o Basecamp, 225 S. Lake Ave., Ste. 300, Pasadena, CA 91101. Please specify “Official Rules” or “Winners List” on the outer envelope.
15. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the Giveaway that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the Giveaway there is a discrepancy or inconsistency between disclosures or other statements contained in any Giveaway-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in the Sponsor’s sole and absolute discretion.
